Looks like somebody stepping up to challenge the status quo at Disney. How do you see it playing out?

Trian Nominates Nelson Peltz for Election to Disney Board Will File Preliminary Proxy Statement for Disney’s 2023 Annual Meeting

Disney faces proxy fight as Peltz pushes to join board

quote:

Peltz said that he should be elected to Disney’s board because of his prior experience turning around companies to improve performance and increase long-term shareholder value. Peltz has previously waged successful proxy battles at blue chip companies including DuPont and Procter & Gamble. Peltz’s Trian Group said in a regulatory filing that he’s seeking a one-year term.

quote:

“The Trian Group believes that Disney’s recent performance reflects the hard truth that it is a company in crisis with many challenges weighing on investor sentiment,” the filing said.

quote:

The group says recent issues facing Disney are self-inflected problems, calling out what it considers failed succession planning efforts, a flawed direct-to-consumer strategy and “over-the-top” compensation practices, among other concerns. Trian argues that if the 80-year-old Peltz is elected to Disney’s board, he’ll look to increase transparency and accountability. The group said Peltz would focus on developing an effective succession plan, aligning compensation with performance and improving direct-to-consumer margins.

Many of the problems are self inflicted, that is true.

The Disney problem is that it is simultaneously "too big to fail" and "too big to fix".

Certainly someone could come in and do something extremely smart - spin off Marvel, refocus the Disney animation brand, refocus the parks on the middle class family experience and develop a long-term plan for restoring Star Wars.

But, that would have to come with acknowledging failures and owning up to them and institutionally they're incapable of that. They're not Google, despite their efforts. They can't buy their way out of it. They keep buying IPs and then destroying the existing fanbase of that IP.

They could monetize a spin off of Marvel now, before any perceived value drops too far. They would have resources to fix the other problems, but they will not because they cannot.

Disney is a case of not getting outside of your core competencies.

Disney+ will be highly profitable but it will take another 24-36 months to get into the black…..then revenue should start to accelerate.

The CFO and former CEO underestimated the amount of time and money it would take to make Disney+ a financial success.

The IT developers always overpromise and underdeliver - every single time.

Disney needs to look at getting rid of ESPN - ESPN is going to lose the college athletic game - either to cash heavy IT businesses or the college athletics bubble will pop.

The woke environment is already being culled out of Disney - parents don’t want it and won’t pay for it. That will help keep park revenue stable and increasing.

I am going to watch Universal’s expansion into Texas. Disney has 3 main parks and 2 small parks on their long term strategy horizon. Texas will be one of those 3. If Disney can get the earnings train going with Disney+, that will allow them to focus on what the do best - developing entertainment film and amusement parks.

Pretty fascinating stuff. It’s not rocket science. Make decent movies that appeal to your normal families and not wacko single 30 year old activists.

You can still promote uniqueness and individuality like you’ve always done , just don’t be heavy handed with sexuality. Maybe make a few princess movies that every little girl in America will eat up like they always have.

Make your parks appealing and somewhat affordable for these families.

Print money.

Disney used to have a strong middle and lower management team. There were clearly printed rules to cover every situation and occasion. There were also clearly defined punishments for rule breakers. People simply did as instructed by their supervisor.

The new age of everybody gets a trophy, everyone's opinion needs to be heard kills the chain of command. When one of the degens gets appointed to the head of creativity for the film division, then states that she has a trans kid and that all movies from here on, will have gay content, The sled started downhill. Had competent fiduciaries been in place, she would have been fired immediately.

The board is being sued for misconduct in their fiduciary responsibilities. They also have a geezer forcing a proxy fight to get a seat on the board. The board is begging their shareholders to vote no. The shareholders have seen them purposefully bringing the stock price down to force an agenda and no longer trust them.

People want this run like a business, not like an SJW ray-gun. The Disney plus profitability is key.

Looks like Trian has withdrawn their nomination based on Disney’s recent actions. Did Trian win or back down?

Peltz announced he was withdrawing his fight when Disney reported after Iger did the earnings call. Announced during an interview on CNBC. Huge compliment to Iger.

Iger gave into most of their demands. Putting up Peltz for the seat was like pointing a gun at Disney. Once Disney gave in, they didn’t need to risk anything else, and it’s much easier than having to put someone on the board and make them actually responsible for what’s going on there
